Vadma.org – Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Participant," "Practitioner," "Client," or "you") and Vadma LLC, a Wyoming limited liability company ("Vadma," "Company," "Institute," "we," "us," or "our").

By accessing vadma.org, submitting an application, purchasing any 1:1 session, group session, training, certification, mentorship, or participating in any Vadma-related activity, you acknowledge that you have read, understood, and agree to be bound by these Terms.


1. Nature of Services (Professional / B2B Classification)

Vadma provides professional education, practitioner training, certification, mentorship, and research-based experiential instruction intended primarily for qualified professionals.

Vadma offerings are:

  • Not consumer or recreational services

  • Not medical, therapeutic, or healthcare services

  • Not licensed treatment in any jurisdiction

Enrollment constitutes participation in a professional development and certification program, not the purchase of consumer services.


2. Eligibility & Age Requirement

You must be at least eighteen (18) years of age to access any Vadma services, attend any session (whether as a client or practitioner), enroll in any training, or participate in any Vadma-related activity. By participating, you represent and warrant that you meet this age requirement.


3. Relationship to Practitioner Agreement

Participants who enroll in the Vadma Practitioner Certification program are required to execute a separate Practitioner Training, Certification, Brand License & Intellectual Property Protection Agreement (the "Practitioner Agreement"). The Practitioner Agreement contains additional and more detailed provisions governing intellectual property, certification, licensing, confidentiality, and post-termination obligations.

In the event of any conflict between these Terms and the Practitioner Agreement, the Practitioner Agreement shall govern with respect to the subject matter covered therein.

These Terms apply to all users of vadma.org and all participants in Vadma sessions and activities, including clients receiving sessions from Vadma-certified practitioners, website visitors, applicants, and training participants prior to execution of a Practitioner Agreement.


4. Governing Law & Jurisdiction

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.

To the maximum extent permitted by law:

  • You agree to submit to the exclusive jurisdiction of the courts located in Wyoming for contractual disputes arising under these Terms.

  • Vadma LLC reserves the right to seek injunctive relief, IP enforcement, or emergency remedies in any jurisdiction where infringement, misuse, or reputational harm occurs.

  • Participants who have executed a Practitioner Agreement are subject to the dispute resolution provisions therein (including ICC arbitration), which shall govern in lieu of this Section with respect to disputes covered by the Practitioner Agreement.


5. Payment Processing & Authorized Billing

Payments may be collected by:

  • Vadma LLC directly, and/or

  • Authorized billing agents, affiliates, or local partners acting solely as payment collection agents on Vadma's behalf.

Regardless of billing descriptor, invoice issuer, payment method, or payment intermediary, Vadma LLC remains the sole contracting party for all Vadma programs, certifications, and licenses.

Accepted payment methods include:

  • Bank wire (primary for high-ticket programs)

  • Stripe and/or PayPal (installments or lower-ticket offerings)

You acknowledge that:

  • Bank wire payments are final and non-reversible

  • All bank, currency conversion, or intermediary fees are your responsibility


6. Strict No-Refund Policy; Credits Only

All purchases are final. Vadma enforces a strict no-refund policy.

  • No refunds are issued for any reason, including non-attendance, dissatisfaction, scheduling conflicts, or change of circumstances.

  • At Vadma's sole discretion, a credit may be issued toward a future training or session within 12 months.

  • Credits are non-transferable unless expressly approved in writing.

Where mandatory local law grants cancellation or withdrawal rights that cannot be contractually waived (such as cooling-off periods under the EU Consumer Rights Directive, UK consumer regulations, or equivalent laws), such rights shall apply only to the minimum extent required by such law and shall not extend beyond what is strictly mandated.

1:1 Sessions

  • All sales are final.

  • Rescheduling is permitted only if requested at least 24 hours prior to the scheduled session.

Group Sessions

  • All sales are final.

  • No refunds or reschedules for missed attendance.

  • Tickets may be transferred to another eligible person.

Payment Plans

  • A 4-week grace period is provided for failed payments.

  • Failure to cure results in immediate revocation of platform access, certification rights, practitioner directory listing, and all materials, without refund or credit.


7. Chargebacks & Dispute Resolution

Before initiating any chargeback or payment dispute, you must:

  1. Provide written notice to [email protected]

  2. Allow Vadma 10 business days to respond and attempt resolution

Unauthorized chargebacks constitute a material breach of these Terms.

In the event of an unauthorized chargeback, Vadma reserves the right to:

  • Submit participation records, communications, and agreements to payment processors;

  • Immediately terminate all access, certification, licensing rights, practitioner directory listing, and platform access;

  • Permanently revoke all certifications and rights under any Practitioner Agreement;

  • Recover all administrative, legal, and processing costs to the extent permitted by law; and

  • Pursue collection through third-party agencies or legal proceedings.

The Participant acknowledges that a chargeback, once initiated without following the above process, results in the forfeiture of all rights, certifications, and licenses without refund, credit, or reinstatement.


8. Intellectual Property & Certification Hierarchy

8.1 Ownership

"Vādma," the Vadma Modality, protocols, sequences, somatic architecture, branding, materials, and system structures are proprietary intellectual property of Vadma LLC and its affiliated entities.

Trademark rights are asserted under common-law and proprietary trade name protections, with formal registrations filed and/or pending in multiple jurisdictions through Vadma LLP and/or its successors.

All training materials, manuals, digital content, video recordings, protocols, scripts, intake forms, and any other content provided by the Institute in any format (collectively, "Materials") are the exclusive property of Vadma LLC. No participant may copy, reproduce, scan, photograph, transcribe, distribute, share, upload, or make available by any means any Materials or portion thereof without the express written consent of Vadma LLC.

8.2 Limited License by Certification Level

Level 1 (Practitioner) & Level 2 (Initiate) You are granted a limited, non-exclusive, revocable license to use the Vadma name and logo solely for marketing and delivering authorized private or group sessions, subject to the terms of your Practitioner Agreement.

You are strictly prohibited from:

  • Teaching, training, or instructing others in the Method or any part thereof;

  • Certifying practitioners;

  • Publicly demonstrating proprietary protocols or the specific physical contact techniques of the Method;

  • Creating derivative works, including rebranding, renaming, or repackaging the Method under any other name; and

  • Disclosing Confidential Information (as defined in the Practitioner Agreement) to any third party.

Level 3 (Master) Eligibility to facilitate official Vadma trainings is granted only under:

  • Vadma LLC's operational umbrella, or

  • A specific, written Master Authorization Addendum.

No training may be announced or conducted without explicit prior written authorization from Vadma LLC.

8.3 Automatic Revocation

Any breach — including unauthorized teaching, IP misuse, unauthorized recording, disclosure of confidential information, misrepresentation, or reputational harm — results in immediate and automatic revocation of all licenses and certifications.

8.4 Post-Termination Obligations

Upon revocation or termination, you must immediately:

  • Cease all use of the Vadma name, logos, and materials;

  • Remove branding from all platforms and directories;

  • Stop representing yourself as Vadma-affiliated;

  • Return or destroy all Materials and provide written certification of destruction; and

  • Comply with all post-termination obligations in your Practitioner Agreement (if applicable).

Continued use constitutes willful infringement and may result in legal action, including claims for injunctive relief and liquidated damages as specified in the Practitioner Agreement.


9. Confidentiality & Trade Secret Protection

All participants in Vadma trainings, sessions, and related activities acknowledge that the Vadma Method, its protocols, techniques, sequences, somatic architecture, and specific physical contact techniques constitute proprietary trade secrets and Confidential Information of Vadma LLC.

By participating in any Vadma activity, you agree to:

  • Hold all information regarding the Method, techniques, and protocols in strict confidence;

  • Not disclose, publish, blog, post, or otherwise share any specific techniques, sequences, protocols, or proprietary methods with any third party;

  • Not attempt to reverse engineer, replicate, or derive the underlying principles of the Method for the purpose of creating competing or derivative offerings; and

  • Immediately notify Vadma of any known or suspected unauthorized disclosure.

These confidentiality obligations apply to all participants — including clients receiving sessions, training attendees, applicants, and any person who gains knowledge of the Method through any Vadma-related interaction — and survive indefinitely after your last participation in any Vadma activity, for so long as the information remains confidential.

Participants who execute a Practitioner Agreement are subject to the more detailed confidentiality and trade secret provisions therein.


10. No Recording Policy

10.1 During Trainings

Mobile phones, cameras, recording devices, and any other capture technology are strictly prohibited in the training room at all times. The only authorized recording is conducted by Vadma's designated personnel. Unauthorized recording constitutes a material breach and grounds for immediate removal and termination.

10.2 During Sessions (Clients)

Clients receiving Vadma sessions — whether from the Institute directly or from a certified practitioner — are strictly prohibited from recording, photographing, or filming any part of the session. This prohibition exists to protect proprietary techniques and to ensure the safety of all parties. Attempting to record may result in immediate termination of the session without refund.

10.3 Practitioner Session Recordings

Certified practitioners may record their own sessions subject to the strict conditions set forth in their Practitioner Agreement, which prohibit any visual depiction of the specific physical contact techniques, anatomical application points, and pressure points used in the Method.


11. Independent Practitioners & Liability Separation

Unless expressly contracted otherwise, certified practitioners operate as independent professionals.

Vadma LLC:

  • Does not supervise independent sessions;

  • Is not responsible for practitioner conduct, negligence, or malpractice;

  • Does not guarantee outcomes outside Vadma-run events;

  • Does not provide insurance coverage to practitioners; and

  • Bears no liability for any adverse events, injuries, or outcomes arising from sessions delivered by independent practitioners.

Clients receiving sessions from Vadma-certified practitioners are entering into a direct relationship with that practitioner, not with Vadma LLC.


12. Health Affirmation, Medical Waiver & Assumption of Risk

12.1 Health Affirmation

By engaging in any Vadma session, training, or related activity, you affirm that you are in good physical and mental health and have consulted a qualified physician regarding your fitness to participate.

12.2 Specific Contraindications

You confirm that you do not have a history of heart conditions, heart surgery, or heart medication. You further affirm that you do not have a documented history of vasovagal episodes or a predisposition to autonomic dysregulation.

12.3 Assumption of Risk

You acknowledge that Vadma involves physical touch and intense neurological and somatic experiences. You understand that these sessions involve physical and physiological stressors and you voluntarily assume all risks associated with participation, including but not limited to the risk of bodily injury, severe emotional distress, permanent physical impairment, disability, or death.

12.4 Release of Liability & Waiver

You, on behalf of yourself and your heirs, executors, administrators, and assigns, hereby release, waive, discharge, and covenant not to sue Vadma LLC, its officers, directors, members, employees, agents, practitioners, authorized agents, licensors, partners, affiliates, and their respective successors and assigns (collectively, the "Released Parties") from any and all liability, claims, demands, actions, and causes of action whatsoever, whether known or unknown, arising out of or related to any loss, damage, or injury (including death) that may be sustained during or as a result of participation in any Vadma session, training, or related activity, to the fullest extent permitted by applicable law.

12.5 No Medical Claims

Vadma is an educational neuro-somatic modality and is not a substitute for medical or mental health care. Vadma does not diagnose, treat, cure, or prevent any disease or medical condition. Statements made by the Institute or its practitioners have not been evaluated by the FDA or any other health authority. Results vary and are not guaranteed.


13. Professional Conduct & Reputation Protection

Vadma reserves the right to immediately terminate access, certification, or affiliation — without refund — if conduct is deemed disruptive, unethical, misleading, or harmful to the reputation or integrity of the Vadma Method, the Institute, or its community.

Participants shall not make any public statement, whether written, oral, or digital, that disparages, defames, or is reasonably likely to harm the reputation, goodwill, or business interests of the Institute, its personnel, or the Method. This does not restrict: (a) truthful testimony required by law; (b) good-faith regulatory complaints; (c) private communications with legal counsel; or (d) truthful factual information in legal proceedings.

Misrepresentation or reputational harm may result in legal enforcement, including claims for injunctive relief and damages.


14. International Trainings & Local Partners

Trainings may occur globally and may involve local partners for logistics or regulatory compliance.

Participants are solely responsible for:

  • Travel arrangements and costs;

  • Visas and immigration compliance;

  • Travel and health insurance; and

  • Compliance with all applicable local laws in the training jurisdiction.

Vadma LLC is not liable for actions of third-party venues, hosts, accommodation providers, or local partners.


15. Force Majeure

Neither party shall be liable for failure to perform obligations under these Terms due to circumstances beyond reasonable control, including natural disasters, pandemics, epidemics, government actions or restrictions, war, terrorism, civil unrest, extreme weather events, volcanic activity, or interruptions to transportation or infrastructure.

In the event a training or session is cancelled or postponed due to force majeure, the Institute shall use reasonable efforts to reschedule the training or provide equivalent value. Force majeure does not excuse payment obligations already due and does not entitle participants to refunds.


16. Tax Disclaimer

The Institute makes no representations or guarantees regarding the tax deductibility of training fees, certification costs, accommodation, travel, or any other expenses in any jurisdiction. Tax treatment depends on each participant's individual circumstances, jurisdiction, and applicable tax laws. Participants should consult their own qualified tax advisor regarding applicable deductions. Any statements on the Institute's website or marketing materials regarding tax deductibility are provided for general informational purposes only and do not constitute tax advice.


17. Data Protection & Privacy

17.1 Privacy Policy

The Institute collects and processes personal data in accordance with its Privacy Policy, available at go.vadma.org/privacy-policy. By participating in any Vadma activity or using vadma.org, you acknowledge that you have read and understood the Privacy Policy.

17.2 Applicable Data Protection Laws

The Institute is committed to compliance with applicable data protection laws, including where applicable:

  • The EU General Data Protection Regulation (GDPR);

  • The UK Data Protection Act 2018 and UK GDPR;

  • The Australian Privacy Act 1988; and

  • Other equivalent data protection laws in the participant's jurisdiction.

17.3 Data Processing

By engaging with Vadma, you consent to the collection and processing of your personal data (including name, contact information, health screening responses, payment information, and participation records) for the purposes of:

  • Administering sessions, trainings, and certifications;

  • Managing the practitioner community and directory;

  • Processing payments;

  • Communicating about programs and offerings; and

  • Complying with legal obligations.

Where consent is the legal basis for processing, you may withdraw consent at any time by contacting [email protected]. Withdrawal of consent does not affect the lawfulness of processing conducted prior to withdrawal.

17.4 International Data Transfers

Your data may be transferred to and processed in the United States and other countries where the Institute or its service providers operate. By participating in Vadma activities, you acknowledge and consent to such transfers, which are conducted in accordance with applicable data protection laws.


18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VADMA LLC'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO THE INSTITUTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL VADMA LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES.


19. Indemnification

You agree to indemnify, defend, and hold harmless Vadma LLC, its officers, directors, members, employees, agents, affiliates, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in any Vadma activity; (b) your breach of these Terms; (c) your negligence or willful misconduct; (d) any representations you make to third parties regarding the Method; or (e) your failure to comply with applicable law.


20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent. If modification is not possible, the invalid provision shall be severed, and the remainder of these Terms shall continue in full force and effect.


21. Entire Agreement & Amendments

These Terms, together with the Privacy Policy and any applicable Practitioner Agreement, constitute the entire agreement between you and Vadma LLC with respect to the subject matter hereof.

Vadma may update these Terms at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued participation in any Vadma activity after the posting of updated Terms constitutes acceptance of such changes. For material changes, the Institute will use reasonable efforts to notify active participants via email or platform notification.
